Terms of Service for GudDesk.

These Terms of Service ("Terms") govern your use of GudDesk ("Service"), operated by GudDesk ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

GudDesk is an open-source customer messaging platform that provides live chat, shared inbox, knowledge base, AI-powered support agents, and workflow automations. The Service is available as a hosted cloud offering and as self-hosted open-source software licensed under GPL-3.0.

2. Accounts

When you create an account, you must provide accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

You must be at least 16 years old to use the Service.

3. Free and Paid Plans

GudDesk offers a free tier for small teams (up to 3 agents) and paid plans with additional features. Paid plans are billed monthly or annually. You can cancel your subscription at any time, and you will retain access to paid features until the end of your billing period.

Prices may change with 30 days' notice. Refunds are provided on a case-by-case basis at our discretion.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Send spam, phishing, or unsolicited bulk messages
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Scrape, crawl, or collect data from the Service without permission
  • Impersonate any person or entity
  • Use the Service to harass, abuse, or harm others

We reserve the right to suspend or terminate accounts that violate these terms.

5. Your Data

You retain all rights to data you submit to the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited license to host, store, and process Your Data solely to provide the Service.

For self-hosted installations, Your Data never leaves your infrastructure.

6. Open-Source License

The GudDesk software is licensed under the GNU General Public License v3.0 (GPL-3.0). The open-source license governs your right to use, modify, and distribute the software. These Terms of Service govern your use of our hosted cloud service.

7. AI Features

GudDesk includes AI-powered features such as automated agents and conversation summaries. AI-generated responses may not always be accurate. You are responsible for reviewing AI outputs before they are sent to your customers.

AI features on the hosted platform may use third-party AI providers. Your data is processed in accordance with our Privacy Policy and is not used to train third-party AI models.

8. Availability and Support

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible. Support response times depend on your plan tier.

9. Intellectual Property

GudDesk and its original content (excluding Your Data and open-source code) are and remain our property. The GudDesk name, logo, and branding are our trademarks. Nothing in these Terms grants you rights to use our branding without written permission.

10. Limitation of Liability

To the maximum extent permitted by law, GudDesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

11. Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance.

13. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your dashboard. We may terminate or suspend your account for violations of these Terms with reasonable notice.

Upon termination, you can export Your Data for 30 days. After that period, we may delete Your Data in accordance with our data retention policy.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which GudDesk operates, without regard to conflict of law provisions.
